Please read these Terms of Service thoroughly. They contain critical information about your legal rights, remedies, and obligations, including limitations on liability and a disclaimer of all warranties.

Overview

These Terms of Service (“Terms”) are a legal agreement between HyperDev (“HyperDev,” “we,” “us,” or “our”) and the individual or entity that accesses hyperdev.com (the “Site”) or uses our development tools, AI‑assisted code generation, hosted sandboxes, APIs, and related services (collectively, the “Services”). By clicking “I agree,” creating an account, or accessing or using the Services, you agree to these Terms and to our hyperdev.com/privacy-policy, which is incorporated by reference, as well as any other policies referenced in these Terms. If you do not agree, do not access or use the Services.

If you are using the Services on behalf of a company or other legal entity, you represent and warrant that you have authority to bind that entity, in which case “you” means that entity. Eligibility: You must be at least 13 years old, or the minimum age of digital consent in your country. If you are under 18, you must have your parent or legal guardian’s permission to use the Services.

We may update these Terms from time to time. When we make material changes, we will provide notice as required by law (e.g., by email, in‑product notice, or posting on the Site). The Effective Date above will reflect the latest version, and your continued use after the effective date constitutes acceptance of the revised Terms.

If you and HyperDev have a separately signed agreement governing your use of the Services, that agreement will control to the extent of any conflict with these Terms.

Accounts

Certain features require an account. You’re responsible for maintaining the confidentiality of credentials and for all activity under your account. Notify us promptly of any unauthorised use.

License to Use the Services

Subject to these Terms and timely payment of any applicable fees, HyperDev grants you a limited, non‑exclusive, non‑transferable, non‑sublicensable, revocable, worldwide license to access and use the Services and any client software, SDKs, CLIs, or plugins we make available solely for your personal or internal business purposes.

Open‑source and templates.

The Services may include or reference open‑source components or sample templates. Each such component is licensed to you under its own license terms, which will govern your use of that component. In the event of a conflict between these Terms and an open‑source license for a specific component, the open‑source license controls for that component only.

Ownership; reservation.

The Services (including software, systems, and documentation) are licensed, not sold, and are owned by HyperDev and its licensors. All rights not expressly granted are reserved.

Restrictions.

You will not (and will not permit others to):

  1. copy, modify, translate, adapt, or create derivative works of the Services;
  2. reverse engineer, decompile, or attempt to derive source code of any non‑open components, except to the limited extent permitted by applicable law;
  3. remove, alter, or obscure proprietary notices;
  4. sell, resell, rent, lease, lend, time‑share, or operate the Services as a service bureau or to provide the Services to third parties (except to Authorised Users under your account);
  5. bypass or interfere with usage limits, security controls, metering, or access restrictions;
  6. access the Services to build a competing product or service, or to benchmark or disclose performance or security test results without our prior written consent;

Plans, Pricing, Billing & Cancellation

Fees & Auto‑Renewal.

Some features of the Services require payment. Plan features, pricing, and billing cadence are available at hyperdev.com/pricing. Subscriptions renew automatically at the end of each billing period unless you cancel as described below. By starting a paid plan, you authorise recurring charges to your payment method until you cancel. We may add new services/tiers for additional fees or change prices prospectively; any fee change takes effect in the next billing cycle after we provide notice. 

Usage‑Based Fees & Overage.

Some features may be billed based on actual usage. If you exceed plan limits, overage charges may apply and will be billed to the payment method associated with your account. Unless otherwise stated, amounts paid are non‑refundable. 

Billing: Payment Methods.

We will charge the fees and any taxes to the payment method associated with your account. Keep your billing information up to date and ensure you have sufficient funding to avoid interruptions. We may suspend accounts for non‑payment.

Taxes.

You are responsible for all applicable sales, VAT, GST, use, and similar taxes, duties, and charges (other than taxes based on our net income). If withholding is required by law, you will gross up payments so we receive the full amount.

Trials & Promotions.

If you sign up for a trial or promotional offer, we will begin billing at the end of the trial period unless you cancel before it ends. Access typically continues until the end of the then‑current cycle after you cancel. 

Plan Changes: Proration.

Upgrades generally take effect immediately and may be prorated for the remainder of the current term, if applicable. Downgrades take effect at the next renewal unless we state otherwise. Any promotional or trial pricing will not carry over unless expressly stated. For certain transitions, we may prorate or credit amounts as described in the billing portal.

Tokens.

Plans may include a monthly allocation of Tokens. Tokens have no cash value, may be used only within the Services, cannot be transferred, and expire as specified in the plan details. Upon cancellation, unused Tokens expire at the end of the current billing period. 

Refunds.

Except where required by law, fees are non‑refundable (including for partial periods, unused services, or Tokens). Certain metered/usage charges are non‑refundable once incurred.

Chargebacks & Disputes.

If you dispute a charge, contact us at hyperdevsupport@hyperdev.com before initiating a chargeback. We may suspend your account if we incur chargebacks and pass through related costs and fees.

Cancellation.

You can cancel anytime via [BILLING PORTAL URL HERE] → Manage Subscription → Cancel, or by following the instructions at [CANCELLATION METHOD HERE]. Your subscription remains active until the end of the current billing period, and you won’t be charged for the next period if your cancellation is received before the renewal date. 

Non‑Payment & Suspension.

We may suspend or limit access for non‑payment or suspected fraud/abuse, and may pass through reasonable collection costs. Access will be restored after full payment of the amounts due.

Price/Term Changes.

We may change plan features or pricing, and will provide notice where required. Changes apply to subsequent terms; continued use after the effective date constitutes acceptance of these changes.

Access; Changes; Support; Beta

We may modify, suspend, or discontinue the Services (or any part) at any time, with or without notice.

We may provide support via hyperdevsupport@hyperdev.com on a commercially reasonable basis.

Features labelled “Beta,” “Prototype,” or similar are experimental, provided “as is,” may be subject to additional terms, and may be discontinued without notice.

Promotional Offers and Linked Services

From time to time, HyperDev may provide promotional benefits or linked service offers through its partner company, HyperionDev. These offers are made available solely at HyperDev’s discretion and may be modified or withdrawn at any time without prior notice.

Bootcamp Discounts:

Eligible HyperDev users may receive up to 50% off selected HyperionDev coding bootcamps. HyperDev and HyperionDev determine eligibility, applicable courses, and the duration of the discount, which may vary by region or user status. Discounts cannot be transferred, combined with other offers, or redeemed for cash. This offer is only redeemable once.

Mentor Sessions:

Specific paid HyperDev plans may include access to weekly 1:1 mentor sessions provided by qualified mentors through HyperionDev’s network. Mentors operate as independent professionals under HyperionDev’s supervision. HyperDev does not guarantee mentor availability, scheduling, or specific learning outcomes, and shall not be liable for the content or results of such sessions.

Use of any HyperionDev services, including bootcamps or mentorship, remains subject to HyperionDev’s separate terms and policies, which govern enrolment, payment, conduct, and certification.

Your Content; Code Ownership

Definitions

“Your Content” means any code, text, prompts, files, datasets, and other materials you (or your Authorised Users) submit to or create within the Services.

“Input” means prompts, instructions, or other content you submit to AI features; “AI Output” means content generated for you by those features. AI Output is part of Your Content (unless we say otherwise in a separate agreement).

“Usage Data” means telemetry, logs, performance metrics, and other technical data generated by your use of the Services. HyperDev owns the Usage Data and may use it to operate, secure, analyse, and improve the Services.

Ownership (Input & AI Output).

As between you and HyperDev, you retain all ownership rights in Your Content and Input, and you own AI Output to the extent permitted by law. To the extent HyperDev has any rights in AI Output, we assign those rights to you. This does not transfer any ownership in the Services or our materials to you.

No claim over your code.

HyperDev does not claim ownership of data, code, or other material you submit or create using the Services; you’re responsible for it.

License to operate the Service.

You grant HyperDev a limited, worldwide, royalty‑free license to host, run, process, transmit, display, and back up your content only as needed to provide, maintain, secure, and support the Services (including caches, logs, indexing for in‑product search, and content delivery), and to comply with law and enforce our Terms. This license ends when your content is deleted from active systems, subject to retention for backups.

Public vs. private projects.

Private: Visible only per your access controls.

Public: If you mark a project public, you authorise us to display and host it publicly, and you understand it may be viewable, runnable, or forkable by others within the Services. Public visibility mirrors common practice on similar dev platforms (you control visibility in settings). We do not grant a license to other users on your behalf. If you want others to reuse the code off‑platform, attach an explicit OSS license to your project.

Open‑source and third‑party licenses.

If Your Content uses or includes third‑party components (e.g., MIT, Apache‑2.0, GPL), you are responsible for complying with those licenses (including attribution/notice). Posting a project without a license may restrict how others can reuse it; adding a license clarifies permitted reuse.

Third‑party AI/model and infrastructure providers.

If you connect or route data to third-party AI or infrastructure providers, their terms and privacy policies also apply. Some providers may have the right to use aggregated or anonymised usage data. You authorise HyperDev to share Your Content with those providers as needed to deliver the features you enable.

Our use of data for model improvement.

We do not use Your Content to train models, except as necessary to provide the Services.

Representations & responsibility.

You represent that you have all rights necessary to submit and use Your Content and to grant the licenses above; Your Content will not violate law, third‑party rights, or the Acceptable Use Policy. You’re responsible for reviewing and testing AI Output (including security, licensing, and compliance) before production use.

Removal; takedown.

We may remove or disable access to content that is alleged to infringe or violate these Terms and may terminate the accounts of repeat infringers.

Acceptable Use

Baseline.

You will comply with all applicable laws and these Terms of Service. You are responsible for Your Content and for how you and your Authorised Users use the Services. The examples below are illustrative, not exhaustive.

1) Safety, unlawful activity, and security abuse; 
  • Break the law, violate others’ rights, or facilitate illegal acts
  • Create, distribute, or operationalise malware, ransomware, spyware, credential‑harvesting tools, exploits, or code intended to compromise systems; conduct unauthorised penetration testing, vulnerability scanning, or circumvent security/rate‑limits or safety filters; or attempt model extraction/jailbreaking to bypass safeguards.
  • Interfere with or impair the Service or other users’ access (e.g., DDoS, resource starvation, excessive automation/scraping beyond published limits).
2) Privacy, sensitive data, and personal information; 

You will not collect, process, or publish others’ personal or sensitive information without a lawful basis and consent (e.g., government IDs, full financial account numbers, precise geolocation, health/biometric data, data on minors), nor attempt to aggregate, profile, or deanonymize individuals using the Services. Unless we agree in writing, do not submit Sensitive Data to the Services.

3) Minors and child safety; 

Absolutely no content or conduct that exploits, harms, sexualizes, or targets minors (anyone under 18), including grooming or facilitating access to age‑restricted goods or content. We report apparent CSAM and endangerment as required by law.

4) Harassment, hate, violence, and self‑harm;

No threats, intimidation, targeted harassment, hate or discrimination; no promotion of violence or self‑harm. Don’t use the Services to organise, praise, or support violent or extremist activities.

5) Adult/sexual content;

Prohibited: CSAM; non‑consensual intimate imagery; trafficking, escorting, or sexual services; pornographic/pay‑per‑view adult content hosted or generated via the Services.

Allowed with restrictions: informational or non‑explicit content about adult products if lawful and compliant with these rules.

6) Deception, deepfakes, and manipulation;

No impersonation, undisclosed synthetic media (e.g., deepfakes of a person’s face/voice) that could confuse authenticity; no coordinated deception, fraud, or spam; no political campaigning/lobbying or election interference, including demobilisation or covert influence operations; and no automated decisioning in high‑stakes domains without required human oversight.

7) Intellectual property and rights of others;

Do not upload or generate content that infringes copyright, trademark, or other rights. Respect open‑source licenses and attach the appropriate license if you want others to reuse Your Content. Do not post or host non‑consensual images or doxx others.

8) Platform integrity, fair use of resources, and rate limits; 

Do not resell, rent, or provide the Services as a service bureau without our written consent.

We may throttle, rate‑limit, or suspend accounts to protect platform stability.

9) Third‑party providers and pass‑through terms;

If you connect third‑party infrastructure, you must also comply with their policies (e.g., usage policies and safety rules) and understand they may impose additional restrictions or enforcement.

10) Reporting, enforcement, and appeals;

We may review, restrict, or remove content and suspend or terminate accounts for violations, suspected fraud/abuse, or legal risk.

Third‑Party Links & Services

The Services may reference or integrate third‑party content, libraries, APIs, or sites. We don’t control or endorse third‑party resources and aren’t responsible for their content, terms, privacy practices, or availability. Your dealings with third parties are solely between you and them.

Privacy

Use of the Services is subject to our hyperdev.com/privacy-policy, which explains what data we collect and how we use it.

Intellectual Property & Trademarks

HyperDev and associated logos, marks, and site content (excluding Your Content) are owned by HyperDev or its licensors and protected by intellectual property laws. No rights are granted except as expressly provided in these Terms.

Feedback

If you provide ideas or suggestions, you grant us a worldwide, perpetual, irrevocable, royalty‑free license to use and exploit the Feedback without restriction and without any obligation to you.

Export & Sanctions

You may not use the Services if you are subject to U.S. or other applicable export restrictions or appear on any government denied‑party list, and you agree to comply with export and sanctions laws applicable to your use.

Term; Suspension; Termination

We may suspend or terminate access to the Services (in whole or in part) at any time, including for violation of these Terms, legal risk, or non‑payment. You may terminate by cancelling your plan and ceasing use. Sections that by their nature should survive termination will survive (e.g., IP, disclaimers, limitations, indemnities).

Disclaimers

The Services are provided “AS IS” and “AS AVAILABLE.” To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non‑infringement. We don’t guarantee the Services will be uninterrupted, error‑free, secure, or that content will be accurate or complete.

Limitation of Liability

To the fullest extent permitted by law: (a) HyperDev won’t be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenues, data, or goodwill; and (b) HyperDev’s aggregate liability for all claims arising out of or relating to the Services will not exceed the amounts you paid to HyperDev for the Services in the twelve (12) months preceding the event giving rise to the claim. Some jurisdictions don’t allow exclusions/limitations, so some of the above may not apply.

Indemnification

You will defend, indemnify, and hold harmless HyperDev and its officers, directors, employees, and agents from and against claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your use of the Services, Your Content, or violation of these Terms or any third‑party rights.

DMCA / IP Complaints

If you believe that content on the HyperDev platform infringes your copyright or other intellectual property rights, please notify us in writing at:

Your notice must include all of the following in writing: (1) Identification of the copyrighted work claimed to have been infringed, or, if multiple works are involved, a representative list of such works. (2) Identification of the material you believe to be infringing, including information sufficient for us to locate it on the platform. (3) A statement that you have a good-faith belief that the use of the material in question is not authorised by the copyright owner, its agent, or the law. (4) A statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or are authorised to act on their behalf. (5) Your contact details, including your full name, address, telephone number, and email address. (6) Your physical or electronic signature.

Upon receipt of a valid notice, HyperDev will investigate and take whatever action it deems appropriate, which may include removing or disabling access to the allegedly infringing material. Counter-notices disputing the claim may be sent to the same address and will be processed in accordance with applicable law.

Governing Law and Jurisdiction

The Site and Services are controlled and operated by HyperDev Ltd. from its offices in the United Kingdom. HyperDev makes no representation that the Site or Services are appropriate or available for use in other locations. Users who access or use the Site or Services from outside the United Kingdom do so on their own initiative and are responsible for complying with all applicable local laws and regulations, including export and import controls.

You may not use the Site or Services if you are located in a jurisdiction that is subject to trade embargoes, sanctions, or other restrictions imposed by the United Kingdom, the European Union, or the United States.

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to the conflict of laws principles. Any dispute arising out of or in connection with these Terms, the Site, or the Services shall be subject to the exclusive jurisdiction of the courts of England and Wales, and you irrevocably agree to submit to such jurisdiction.

If any provision of these Terms is found by a court of competent jurisdiction to be invalid or unenforceable, the remaining provisions will continue in full force and effect. No failure or delay by HyperDev in exercising any right under these Terms shall be deemed a waiver of that right.

Changes to Terms

We reserve the right to revise these Terms from time to time. The updated Terms will be posted with a new Effective Date. If you continue to use the Services after the changes take effect, you will be deemed to have accepted the revised Terms.

Miscellaneous

Entire Agreement. These Terms, along with the referenced policies, constitute the whole agreement.
Severability & Waiver. If a provision is unenforceable, the remainder remains in effect. Failure to enforce isn’t a waiver.
Assignment. You may not assign these Terms without our consent; we may assign them as part of a merger, acquisition, or sale of assets.
Notices. We may notify you via the Services, email, or your account contact details.
